Legal Agreement Between Shipper and Tipaload Pty Ltd

These Tipaload Shipper Terms of Use (the Agreement) are a legally binding contract between you (referred to as You, User or the Shipper) and Tipaload Pty Ltd (ABN 98 639 734 679) (Tipaload, we, us, or our).

Tipaload provides a platform to match Shippers and Carriers for the transport of goods, whereby Shippers can post details of job requests and independent Carriers can accept and complete those jobs. Tipaload only provides the Services as set out in this Agreement to the Shipper, and Tipaload does not itself provide transportation services or job site services.

Please read the terms and conditions of this Agreement carefully. Certain features of the Services may be subject to additional guidelines, policies, terms or rules, which will be provided to you in conjunction with this Agreement. All such additional guidelines, policies, terms and rules are incorporated by reference into this Agreement.

By accessing or using the Platform, you agree to be bound by these Terms, including any schedules, policies, or documents incorporated by reference. If you do not agree with any of these terms and conditions, you must not use the Platform. We recommend that you print and keep a copy of this Agreement for future reference.

If you are entering into this Agreement on behalf of an entity or organisation, you represent and warrant that you have the authority to bind that entity or organisation to this Agreement. You will provide evidence of such authority upon Tipaload's request.

1. Services

a) Tipaload provides the following services:

  • makes available the Tipaload application (the App);
  • facilitates the matching of the Shipper, as and when it requires the transport of Waste, with Carriers who are available to transport that Waste (Carriers); and
  • hosts a platform whereby Tip Site owners (Tip Site Owners) can list their Tip Site as willing to receive Waste (including specifying the type and amount of waste accepted),

(collectively, the Services).

b) The Shipper acknowledges and agrees that Tipaload is a technology services provider and does not provide transportation services or job site services.

2. Shipper

  1. To access and use the Services, a Shipper must have a registered Shipper Account (a Shipper Account).
  2. Tipaload has sole discretion whether to provide a Shipper Account to any applicant. without limiting the foregoing, Tipaload will only activate a Shipper Account if the Shipper has provided all information reasonably required by Tipaload, including valid payment details.
  3. A Shipper Account is personal to the Shipper and may only be accessed and used by the Shipper and their approved personnel.
  4. Once a Shipper Account has been activated by Tipaload, the Shipper will be provided with access credentials (Access Credentials). The Shipper must keep its Access Credentials secure and confidential, and only provide them to approved personnel. The Shipper must not use another party's access credentials.
  5. All activity undertaken using the Shipper's Access Credentials (including any activity in breach of this Agreement) will be deemed to be the activity of the Shipper.
  6. The Shipper must notify Tipaload immediately if it becomes aware of any unauthorised use of, or suspected unauthorised use of, or misuse of the Shipper Account or its Access Credentials.
  7. Tipaload may suspend or deactivate a Shipper Account in any of the following circumstances:
    1. a material breach of this Agreement by the Shipper;
    2. failure by the Shipper to make any payment due under this Agreement or for Transportation Services, including any payment for Completed Jobs or Cancellation Fees;
    3. the Shipper fails to comply with the requirements set out in clause 3.6 (Damage and injury claims);
    4. the Shipper receives negative ratings or reviews from a Carrier which, upon investigation by Tipaload, demonstrate that the Shipper is or has been in breach of this Agreement; or
    5. the Shipper uses the Services to be matched to a Carrier and then obtains or attempts to obtain Transportation Services independently of the App/Services, in order to circumvent the App or to avoid any payment for Completed Jobs or Cancellation Fees, or for any other similar reason.
  8. For clarity, suspension or deactivation under clause 2(g)(ii) (non-payment) does not relieve the Shipper of the obligation to make any payment due under this Agreement.
  9. Tipaload may run a credit check and/or request a credit report on the Shipper or its relevant personnel. The Shipper consents to such credit checks/reports and agrees to provide any necessary details for Tipaload to do so. The Shipper agrees that Tipaload may provide the Shipper's details (including ABN) to one or more credit reporting services to facilitate this credit check or report.
  10. Account Security Responsibilities: Users are responsible for maintaining the confidentiality and security of their Tipaload account credentials and any device used to access the App. The Shipper must not share login details or allow any unauthorised person to access its account. If the Shipper suspects any unauthorised access to its account or any loss or theft of credentials, it must immediately notify Tipaload and change its password. Tipaload shall not be liable for any unauthorised access to or use of the Shipper's account or data, except to the extent caused by Tipaload's proven breach of its security obligations under law.
  11. Information Accuracy Warranty: The Shipper represents and warrants that all information and documentation it provides to Tipaload or through the Tipaload App (whether during account registration, profile setup, job requests, site listings, or any communication) is true, accurate, current, and not misleading. The Shipper must promptly update any information that has become inaccurate or out-of-date. If Tipaload suffers any Loss or incurs any liability due to the Shipper's provision of false, misleading, or outdated information, the Shipper shall indemnify Tipaload for such Loss.

3. Job Requests and Transportation Services

3.1 Making Job Requests

a) When the Shipper wishes to post a job (a Job), the Shipper must provide the following information through the App, as applicable to the type of Job:

  • Date for the job
  • Confirm the load rate
  • Confirm the vehicles needed for the job
  • A photograph of the Waste
  • The pick-up location
  • The time for the job to begin
  • The time spacing between trucks
  • Approximate time to load each truck
  • Driving method to enter and exit the site (driving in or reversing)
  • Waste/material description and type
  • Geotechnical report, development application, and waste classification reports (if applicable)
  • Site communication details (e.g. contact person's mobile number and UHF channel)
  • Any additional information required to post the job

  • Type of job (cart and dispose โ€“ rate per tonne)
  • Date for the job
  • Confirm the unit rate (rate per tonne)
  • Confirm the vehicles needed for the job and the amount of waste (tonnes) to be moved by each vehicle
  • A photograph of the Waste
  • The pick-up location
  • The time for the job to begin
  • The time spacing between trucks
  • Approximate time to load each truck
  • Driving method to enter and exit the site (driving in or reversing)
  • Waste/material description and type
  • Geotechnical report, development application, and waste classification reports (if applicable)
  • Site communication details (e.g. contact person's mobile number and UHF channel)
  • Any additional information required to post the job

  • Type of job (truck hire โ€“ hourly rate)
  • Date for the job
  • Confirm the unit rate (hourly rate)
  • Confirm the vehicles needed for the job
  • A photograph of the Waste (if applicable)
  • The pick-up location(s) and drop-off location(s) for the trucks
  • The time for the trucks to be on site
  • The time spacing between trucks
  • How many hours the trucks will be hired for (a four-hour minimum hire applies to all truck hires, plus a minimum of one hour travel time)
  • Approximate time expected to load each truck
  • Driving method to enter and exit the site (driving in or reversing)
  • Waste/material description and type
  • Geotechnical report, development application, and waste classification reports (if applicable)
  • Site communication details (e.g. contact person's mobile number and UHF channel)
  • Any additional information required to post the job

  • Type of job (truck hire โ€“ load rate)
  • Date for the job
  • Confirm the unit rate (load rate)
  • Confirm the vehicles needed for the job
  • A photograph of the Waste (if applicable)
  • The pick-up location(s) and drop-off location(s) for the trucks
  • The time for the trucks to be on site
  • The time spacing between trucks
  • How many hours the trucks will be hired for (a four-hour minimum hire applies to all truck hires, plus a minimum of one hour travel time)
  • Approximate time expected to load each truck
  • Driving method to enter and exit the site (driving in or reversing)
  • Waste/material description and type
  • Geotechnical report, development application, and waste classification reports (if applicable)
  • Site communication details (e.g. contact person's mobile number and UHF channel)
  • Any additional information required to post the job

  • Type of job (truck hire โ€“ rate per tonne)
  • Date for the job
  • Confirm the unit rate (rate per tonne)
  • Confirm the vehicles needed for the job and how many tonnes are to be taken by each truck
  • A photograph of the Waste (if applicable)
  • The pick-up location(s) and drop-off location(s) for the trucks
  • The time for the trucks to be on site
  • The time spacing between trucks
  • How many hours the trucks will be hired for (a four-hour minimum hire applies to all truck hires, plus a minimum of one hour travel time)
  • Approximate time expected to load each truck
  • Driving method to enter and exit the site (driving in or reversing)
  • Waste/material description and type
  • Geotechnical report, development application, and waste classification reports (if applicable)
  • Site communication details (e.g. contact person's mobile number and UHF channel)
  • Any additional information required to post the job

b) The Shipper represents and warrants (and is solely responsible for ensuring) that all information provided under clause 3.1(a) is accurate and complete. Further the Shipper agrees to update from time to time to ensure accurate and complete information is valid for the duration of the Job.

c) If a proposed Job is deemed inappropriate or unsuitable by the App or by Tipaload (for example, if required information is missing or the request violates any policies), Tipaload is not required to post that Job on the Tipaload platform.
